End-User License Agreement & Terms of Service

This End-User License Agreement ("Agreement") governs your access to and use of the QuickBooks Online integration and related automation services (the "Service") provided by Thomas E Scott CPA, d.b.a. ScottCPA Advisors ("ScottCPA," "we," "us," or "our"). By connecting your Intuit QuickBooks Online account to the Service, or by otherwise using the Service, you ("you" or the "Customer") agree to be bound by this Agreement. If you do not agree, do not connect your account or use the Service.

1. License Grant

Subject to your compliance with this Agreement, ScottCPA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business and accounting purposes. We retain all right, title, and interest in and to the Service, including all related software, workflows, and intellectual property.

2. Description of the Service

The Service connects to your QuickBooks Online company through Intuit's authorized OAuth 2.0 API and uses that connection to retrieve, organize, and automate accounting information on your behalf — for example, generating financial reports (such as profit & loss, balance sheet, and accounts receivable/payable), preparing benchmarking and cash-flow analyses, and reducing manual bookkeeping tasks. The Service accesses your QuickBooks data only after you grant authorization and only to the extent permitted by the scopes you approve.

3. Your Account and Authorization

You represent that you are an authorized owner or administrator of the QuickBooks Online company you connect, or that you have obtained all necessary authority and consents to connect it and to permit ScottCPA to access its data. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Use of Intuit and QuickBooks Data

Our access to and use of data obtained from Intuit and QuickBooks is described in our Privacy Policy, which is incorporated into this Agreement by reference. We access, use, store, and disclose QuickBooks data only as necessary to provide the Service and as permitted by law, by Intuit's developer and platform agreements, and by your authorization. We do not sell your data.

5. Acceptable Use

You agree not to (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service, Intuit's systems, or another customer's data; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer or copy the Service except as permitted by law; or (e) use the Service in violation of Intuit's terms or any applicable law or regulation.

6. Third-Party Services

The Service relies on third-party platforms, including Intuit, Inc. (QuickBooks Online) and our automation provider. Your use of QuickBooks Online remains subject to Intuit's own terms and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services, and your relationship with those providers is governed by their respective agreements.

7. Professional Services Disclaimer

The Service is a software integration and does not, by itself, constitute accounting, tax, legal, or investment advice. Any professional services ScottCPA provides are governed by a separate signed engagement letter. Output produced by the Service is informational and should be reviewed for accuracy before you rely on it.

8. No Warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that data retrieved will be complete or accurate.

9. Limitation of Liability

To the fullest extent permitted by law, ScottCPA and its owner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service (if any) in the twelve months preceding the claim.

10. Termination and Disconnection

You may stop using the Service and disconnect your QuickBooks Online company at any time — either from within QuickBooks (Apps → My Apps → Disconnect) or by contacting us. See our Disconnect page for details on what happens to your data when you disconnect. We may suspend or terminate the Service, or your access to it, if you breach this Agreement or if required to comply with law or Intuit's requirements.

11. Changes to the Service or this Agreement

We may modify the Service or this Agreement from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by notifying you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state or federal courts located in Pima County, Arizona.
